Terms of Service
These terms govern your access to and use of the COSIGN website. Use of the COSIGN service is additionally governed by the written master services agreement (MSA) between COSIGN and your organization, which controls in the event of any conflict.
1. Acceptance of these terms
By accessing or using the usecosign.com website (the “Site”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Relationship to the master services agreement
These Terms govern the Site only. Access to and use of the COSIGN service (the “Service”) is governed by a separate written MSA, order form, and data processing addendum (DPA) executed between COSIGN and your organization. In any conflict between these Terms and your MSA regarding the Service, the MSA controls. Nothing on the Site constitutes an offer, commitment, or modification of any executed agreement.
3. Eligibility & accounts
The Site and Service are intended for businesses and the professionals who represent them, not for consumers or children. Where the Site offers gated content, demos, or account features, you agree to provide accurate information, keep any credentials confidential, and remain responsible for activity under your access.
4. The service & the guarantee
COSIGN provides a deterministic authorization control that intercepts consequential actions — such as wires, vendor bank-detail changes, payroll edits, and credential resets — and releases them only upon a valid, out-of-band cosign. Specific scope, integrations, thresholds, and service levels are defined in your order form and MSA.
The COSIGN Guarantee is a written, insured loss commitment whose coverage amount, triggers, exclusions, and claims process are set out in your contract and are subject to underwriting. Figures, statistics, and descriptions on the Site are illustrative and informational; they do not themselves create coverage, warranties, or contractual obligations.
5. Acceptable use
You agree not to:
- Misuse, disrupt, or interfere with the Site, its security, or its availability;
- Attempt to circumvent, probe, or reverse engineer the authorization control;
- Test against production tenants or perform security testing without prior written authorization;
- Access the Site by automated means in a way that burdens our infrastructure, except for well-behaved indexing or the machine-readable endpoints we publish (e.g., /llms.txt, /sitemap.xml);
- Use the Site to infringe intellectual property, violate law, or transmit unlawful, harmful, or misleading content.

6. Intellectual property
The Site and its content — including text, design, graphics, logos, the COSIGN name and marks, and underlying software — are owned by COSIGN or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your internal business evaluation. All rights not expressly granted are reserved. You may not copy, modify, distribute, or create derivative works from the Site without our prior written consent, except as permitted by applicable law.
7. Feedback
If you send us suggestions, ideas, or feedback about the Site or Service, you grant COSIGN a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without restriction or obligation to you.
8. Third-party links & services
The Site may reference or link to third-party sites, sources, and services that we do not control. We provide them for convenience and information only and are not responsible for their content, accuracy, or practices. Cited statistics and reports are attributed to their original publishers.
9. Disclaimers
The Site is provided “as is” and “as available,” without warranties of any kind. To the fullest extent permitted by law, COSIGN disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Site will be uninterrupted, error-free, or secure. Warranties and service levels for the Service itself are governed exclusively by your MSA.
10. Limitation of liability
To the fullest extent permitted by law, COSIGN and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site. Our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100). Liability arising from the Service is governed exclusively by your MSA. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless COSIGN and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Site or your breach of these Terms, except to the extent caused by COSIGN.
12. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and you and COSIGN submit to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes relating to the Site, except where applicable law provides otherwise. Any dispute-resolution, arbitration, or venue terms in your MSA govern matters relating to the Service.
13. Changes to these terms
We may update these Terms from time to time. We will revise the effective date and version above and, for material changes, provide additional notice on the Site. Your continued use of the Site after an update means you accept the revised Terms.
